Please vote YES and sign the limited proxy

Our goal is at least 327 YES votes on each proposal, with one vote per eligible lot. These amendments would make it easier for owners to update our governing documents and for membership meetings to conduct business.

Understanding the proposed amendments

Please vote YES on Exhibits A, B and C.

Why we are asking for this change

The developer dictated our original governing documents before most owners moved to Aventura Isles or even bought a home here. Some provisions are outdated, generic or unsuitable for our community; others conflict. Some paragraphs are simply poorly drafted and need editing to clearly reflect their intended purpose and serve members' best interests. Owners need a practical way to approve these updates.

Ideally, enough members would routinely participate to make approval by more than 50% of the entire membership achievable. In reality, participation at most meetings is very low, and reaching even the 30% quorum has proved nearly impossible. A proposal can have strong support among participating owners and still fail because too many owners do not participate.

What each exhibit changes

Exhibit A changes Declaration section 11.1 so amendments generally require approval from a majority of the lots represented at a meeting with quorum. It preserves the protection for provisions requiring a higher vote: that higher threshold cannot be lowered or deleted without the vote required for that action.

Exhibit B makes the same general change for amendments to the Articles of Incorporation, replacing approval by a majority of the entire membership with approval by a majority of the lots represented at a meeting with quorum.

Exhibit C lowers the general meeting quorum to 20% of lots represented in person or by proxy. It also changes the general approval requirement for By-Laws amendments to a majority of the lots represented at a meeting with quorum. Other applicable legal and document requirements still apply.

Owners would continue to decide

These amendments give the Board no new authority to amend the documents on its own. They give participating members a more practical way to make decisions through voting. Approval today would change the process; it would not approve unspecified future changes.

Future amendment meetings must still follow state law and our governing documents, including advance notice to all owners, the required amendment materials, and proper voting procedures. Notice may be mailed, delivered, or sent electronically where legally permitted. Owners retain the opportunity to review, discuss and vote on each proposal.

Participation still matters

In the past, low participation has made it nearly impossible to reach quorum and hold Board elections, even when owners felt the Board was not performing as expected. A lower quorum would make it much more realistic to hold those elections and give owners a practical opportunity to choose their directors. The more owners participate, the more broadly decisions reflect our community.

Please review the official package and mark YES separately for all three proposals. Continue on this page to complete and electronically sign the limited proxy, or submit it using the instructions below.

Questions and answers

What is a quorum, and how is it different from approval?
A quorum is the minimum participation needed to conduct meeting business. The proposal sets the general quorum at 20% of lots, represented in person or by proxy. Ordinary future amendments would require YES votes from more than half of the lots represented.
Is the current quorum 30%, one-third or 50%?
Exhibit C shows one-third in the existing By-Laws. Florida law sets quorum at 30% unless the bylaws provide less. The separate current amendment requirement generally calls for YES votes from more than 50% of the entire membership. The proposal lowers quorum to 20%.
Could 66 owners pass a future amendment?
No, 66 owners cannot gather on their own and pass a change. The minimum participation would still be 20% of lots, and advance notice to all owners would still be required. A secret gathering of 66 owners would not meet those requirements. However, if 131 lots were represented and satisfied quorum, 66 YES votes could pass an ordinary amendment, unless a higher threshold applies.
Could that happen secretly or without telling other owners?
No. All owners must still receive the required advance notice, and the process must include the required amendment materials. Owners can review, discuss and vote against a proposal. Lower turnout can affect the outcome, so participation remains important.
Does this give the Board more power?
These amendments give the Board no new authority to amend the documents on its own. They make it more practical for participating members to decide through voting. The Board must still follow the law and governing documents.
Does voting YES approve every future change?
No. Your vote concerns only Exhibits A, B and C. Future amendments need their own approval. Other provisions, applicable higher voting thresholds, consent requirements and legal protections remain in place.
Will this help us hold elections?
Yes. In the past, reaching quorum and holding Board elections has been nearly impossible, even when owners felt the Board was not performing as expected. Lowering quorum would make these elections much more realistic and help owners hold directors accountable. Applicable election procedures would still apply.
Why seek 327 YES votes now if future amendments need fewer?
These proposals must be adopted under today's requirements. Our goal is at least 327 YES votes on each proposal. The proposed lower thresholds cannot be used to approve themselves.
How can I vote if I cannot attend?
